DIGI5Y is owned and operated by AM333 International. These Terms govern access to and use of the DIGI5Y platform, subscriptions, add-ons, implementation services, AI agents, remote specialist services, and related offerings.

1. Acceptance of Terms
By accessing the DIGI5Y website, subscribing to any DIGI5Y plan, purchasing add-on features, engaging setup or custom services, using AI agents or remote specialist services, or paying any invoice issued by AM333 International, you agree to be bound by these Terms and Conditions.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2. Services
DIGI5Y may provide one or more of the following:
- Basic SaaS subscription access to the DIGI5Y platform;
- Pay-as-you-use add-on features such as emails, automations, AI agents, voice, messaging, storage, or integrations;
- DIY/self-service platform usage;
- Setup, onboarding, implementation, migration, training, and support services;
- Custom setup, custom workflows, and advanced deployment services;
- Custom AI employees, AI agents, automation systems, and related solutions;
- Part-time or full-time remote specialists on monthly retainer;
- Ad-hoc specialized services, consulting, optimization, and other related services.
3. Subscription Plans and Add-Ons
3.1 Base Plan
Your subscription grants access only to the features, capacity, and limits included in your selected plan.
3.2 Higher Plans
Higher plans may include additional features, support, usage thresholds, user capacity, or implementation benefits.
3.3 Usage-Based Add-Ons
Certain features are billed separately based on consumption or usage. These may include, without limitation, email sends, SMS, voice minutes, AI agent usage, automation execution, third-party integrations, storage, premium support, or related services.
You agree that all usage incurred through your account is billable and payable by you.
3.4 Plan Changes
We may revise plans, pricing, packaging, included features, or usage limits at any time upon notice. Continued use after such notice constitutes acceptance.
4. Setup, Customization and Professional Services
Where you engage us for setup, onboarding, implementation, migration, custom deployment, workflow creation, integration, or other professional services, scope shall be limited to what is stated in the applicable proposal, invoice, quotation, service order, or written confirmation.
Any work outside scope, extra revisions, new requests, additional support, or client-caused delays may be billed separately.
5. AI Employees, AI Agents and Automation
DIGI5Y may provide AI-powered tools, agents, assistants, automations, and related services. Such systems are probabilistic in nature and may produce incomplete, inaccurate, unsuitable, or non-compliant outputs.
You are solely responsible for reviewing, approving, and monitoring all AI-generated outputs, automations, prompts, workflows, communications, campaigns, and operational decisions before reliance or deployment.
We do not guarantee that AI agents or automations will be uninterrupted, error-free, legally compliant, or fit for every use case.
6. Remote Specialist Services
Where we provide part-time or full-time remote specialists, such resources remain engaged by or through AM333 International unless expressly agreed otherwise in writing.
Monthly retainer fees reserve service capacity, whether or not such capacity is fully utilized by the Client.
Scope, hours, deliverables, communication channels, and response expectations are governed by the relevant service agreement, proposal, or invoice.
7. Fees, Billing and Payment
7.1 Billing Structure
Fees may include subscription fees, setup fees, implementation fees, project fees, retainer fees, usage-based fees, ad-hoc service fees, and pass-through third-party costs.
7.2 Payment Terms
Unless otherwise stated in writing, subscriptions and retainers are billed in advance. Usage-based fees may be billed in arrears or as otherwise specified.
7.3 Due Dates
Invoices are due on the date stated in the invoice. If no due date is stated, payment is due upon receipt.
7.4 Non-Refundable Fees
Except where required by law or expressly stated otherwise in writing, all fees paid are non-refundable, including setup fees, reserved retainer fees, custom work fees, and usage fees already incurred.
7.5 Late Payment
If payment is overdue, we may suspend access, pause work, disable features, restrict usage, withhold deliverables, or terminate services without liability.
7.6 Taxes
All fees are exclusive of applicable taxes, duties, levies, telecom charges, GST, VAT, or similar amounts unless expressly stated otherwise.
8. Renewals, Suspension and Termination
Unless otherwise agreed in writing, subscriptions and retainers may renew automatically for successive billing periods.
We may suspend or terminate services immediately if you fail to pay, breach these Terms, misuse the platform, create legal or reputational risk, or cause technical or security risk.
Termination does not relieve you from paying accrued fees, outstanding invoices, committed minimum fees, or usage charges already incurred.
9. Client Responsibilities
- Provide accurate information and timely approvals;
- Provide required access, credentials, assets, and content;
- Comply with laws, platform policies, and applicable regulations;
- Review deliverables, workflows, AI outputs, and communications before deployment where appropriate;
- Obtain any necessary rights, permissions, or consents for data and communications;
- Maintain backups unless backup is expressly included in scope.
10. Acceptable Use
You must not use DIGI5Y or related services to:
- Violate laws or third-party rights;
- Send spam, deceptive, fraudulent, or unlawful communications;
- Upload malware or harmful code;
- Reverse engineer, scrape, clone, copy, or misuse the platform;
- Operate prohibited, illegal, infringing, or abusive activity;
- Use the service in a way that harms system integrity or reputation.
11. Intellectual Property
All rights in the DIGI5Y platform, software, frameworks, workflows, prompts, methods, templates, documentation, brand assets, service models, and underlying systems remain the property of AM333 International unless expressly assigned in writing.
You retain ownership of your pre-existing business content, trademarks, and data. You grant us a limited license to use such materials as necessary to deliver the services.
12. Data, Privacy and Confidentiality
We may collect, use, process, and store personal and business information for service delivery, billing, support, analytics, product improvement, and communications, subject to our Privacy Policy.
Each party agrees to keep confidential all non-public business, customer, financial, technical, and strategic information received from the other party.
13. Third-Party Services
DIGI5Y may rely on third-party providers for telephony, hosting, messaging, email delivery, AI processing, integrations, analytics, payment processing, APIs, and related infrastructure.
We are not responsible for third-party outages, policy changes, API restrictions, account bans, deliverability issues, service interruptions, or pricing changes imposed by such providers.
14. No Guarantee of Results
DIGI5Y provides tools, infrastructure, systems, support, and services to help businesses digitalize and automate operations. We do not guarantee specific business outcomes, sales, leads, revenue, ROI, conversion rates, cost savings, or growth results.
15. Warranties Disclaimer
To the fullest extent permitted by law, the services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
16. Limitation of Liability
To the fullest extent permitted by law, AM333 International shall not be liable for any indirect, incidental, special, consequential, punitive, or business-related damages, including loss of profits, revenue, goodwill, data, or opportunity.
Our total aggregate liability shall not exceed the amount paid by you to us for the specific service giving rise to the claim during the three (3) months immediately preceding the claim event.
17. Indemnity
You agree to indemnify and hold harmless AM333 International, DIGI5Y, and their officers, staff, contractors, and affiliates from claims, losses, damages, liabilities, and costs arising from your use of the services, your data, your business operations, your campaigns, your legal violations, or your breach of these Terms.
18. Non-Solicitation and Non-Circumvention
During the service term and for twelve (12) months thereafter, you shall not directly or indirectly solicit, hire, engage, or bypass our employees, contractors, specialists, or remote resources introduced through the services without our prior written consent.
19. Force Majeure
We shall not be liable for delay or failure caused by events beyond our reasonable control, including internet outages, telecom failures, cloud downtime, cyber incidents, provider outages, natural disasters, government action, labor disputes, or similar events.
20. Governing Law
These Terms shall be governed by the laws of Singapore, unless otherwise agreed in writing. The courts of Singapore shall have exclusive jurisdiction.
21. Changes to Terms
We may revise these Terms from time to time by posting an updated version on our website. Continued use after the effective date of such changes constitutes acceptance.
